Can You Backdate VAT Registration?

PropertyVAT Team · Updated · 3 min read

This question almost always arrives after the fact: a buyer completes on an opted property, then discovers the buying entity was never registered for VAT.

The honest answer is that there may be something to try, it is uncertain, and it is a far worse position than registering on time.

Why registration timing matters

Recovery of input tax normally depends on the buyer being a taxable person — registered — at the time of the supply. Complete before registering and the straightforward route to recovery is not available.

On a £1m opted purchase, that is £200,000 at stake.

The two things people mean by "backdating"

They are different, and conflating them causes confusion.

An earlier effective date of registration. When you register, you specify when registration takes effect. In some circumstances you can request a date earlier than the application, and HMRC may accept it.

This is a request, not a right. HMRC will consider the circumstances, and an earlier date brings obligations with it — output tax may become due on supplies you made in that period.

Pre-registration input tax. Separate rules allow recovery of some VAT incurred before registration. Broadly these cover goods still held at registration, and certain services received shortly before it, within specified time limits.

Whether these help with a property purchase depends closely on the facts. A property may be an asset still held, which is why the question is worth putting to a specialist — but the analysis is technical and the answer is not a given.

Why it is not a plan

Three reasons not to treat this as a fallback:

It is discretionary and uncertain. You are asking rather than claiming.

It brings obligations. An earlier registration date means accounting for output tax from that date, which may not be what you want.

It is expensive. Specialist advice, correspondence with HMRC, and months of uncertainty — against a registration that takes weeks and costs nothing.

There is also a funding dimension. If you bridged the VAT, the facility's exit is the reclaim. A reclaim that is uncertain is an exit that is uncertain, and that conversation with your lender is one to have early rather than late.

What to do if you have already completed

  1. Stop and take specialist VAT advice. Not general accountancy advice — this is a technical area where the detail decides the outcome.
  2. Gather everything: the purchase contract, the seller's VAT invoice, the completion statement, evidence of the entity's formation and intentions.
  3. Establish what the entity's intentions were at the time of purchase, and whether that is evidenced. Contemporaneous evidence of intended taxable use matters.
  4. Register now, and discuss the effective date with your adviser.
  5. Tell your lender if the VAT was bridged.
  6. Do not file a speculative claim before the position is understood. An incorrect claim creates its own problems.

The preventable version

Every element of this is avoided by one step taken weeks earlier.

When What Cost
Deal agreed Start VAT registration Nothing but time
Before exchange Confirm registration is in place Nothing
After completion Specialist advice, HMRC correspondence, uncertain outcome Significant, and possibly the whole VAT

Registration is the least interesting task in a property purchase and the one with the largest downside if missed. It belongs in week one, owned by a named person, not assumed to be someone else's job.

This guide is general information, not tax advice. Pre-registration recovery and effective dates are technical and fact-specific — take specialist VAT advice promptly.

Frequently asked questions

Can I ask HMRC to register me from an earlier date?
You can request an earlier effective date of registration in some circumstances, and HMRC may agree. It is not automatic and should not be relied on as a plan for a completed purchase.
What is pre-registration input tax?
Rules allowing recovery of some VAT incurred before registration — broadly on goods still held and on certain services received shortly before. Whether they assist with a property purchase depends on the facts.
Does the property count as goods still held?
A property can be an asset still held at registration, which is why advice is worth taking. But the analysis is technical and the outcome depends on the circumstances, so do not assume it works.
What is the practical lesson?
Register before completion. The remedies are uncertain, discretionary and expensive to pursue, while registering in advance costs nothing but time you usually have.
