VAT reclaim and HMRC

Your SPV's First VAT Return

The first return is where a property SPV's VAT position either works or gets complicated. Everything before it — registration, the option to tax, the purchase — is preparation for a single filing.

Why it attracts attention

Look at the return from HMRC's side:

  • A company incorporated a few months ago
  • No trading history, no previous returns
  • One transaction
  • A claim for a six-figure refund

That is not suspicious. It is simply the profile most worth verifying before money goes out. Treat verification as the base case and you will prepare properly for it.

Before you file

Confirm the registration date covers the purchase. Recovery normally depends on being registered at the time of the supply. Check that the effective date of registration precedes completion.

Obtain a valid VAT invoice from the seller. This is the single most common failure point. You need an invoice showing the seller's VAT number, the date, a description of the supply and the VAT charged. A completion statement is not a VAT invoice.

If you have not got it, chase it now. The seller's solicitor is far more responsive in the week after completion than three months later.

Check the option to tax position. Where your recovery or your intended supplies depend on an option, make sure the notification and acknowledgement are on file.

Write down the intended use. A short, plain statement: what the property is, what the company will do with it, and on what VAT basis. You will be asked, and having it drafted in advance is better than composing it under time pressure.

Filing

The purchase goes in as input tax on the return for the period in which you completed. Because the SPV has little or no output tax, the return will be a repayment return.

Two practical points:

  • File promptly after the period ends. The timing advantage of completing just before a quarter end evaporates if the return then sits unfiled for a month.
  • File accurately. A correction on a first return invites exactly the scrutiny you are trying to move through quickly.

The evidence pack

Have these together before you file, not after HMRC asks:

Document Why
Seller's VAT invoice Primary evidence that VAT was properly charged
Completion statement Corroborates the transaction
VAT registration certificate Establishes registration at the time of supply
Option to tax and acknowledgement Supports the VAT position
Statement of intended use Establishes recoverability
Funding documentation Standard corroboration

Quarterly or monthly

For an SPV in a repayment position, monthly returns shorten every reclaim cycle rather than optimising one deal. For a buyer making repeated acquisitions, that can be structurally worthwhile.

The trade-off is twelve filings a year instead of four. Worth a conversation with your accountant, particularly if VAT-affected purchases are a regular feature rather than a one-off.

If you are bridging the VAT

The facility runs until HMRC pays. Two things lengthen that predictably on a first return:

  • Completing just after a VAT quarter end
  • Verification, which this profile invites

Size the facility for the realistic case rather than the fastest one. Agreeing a longer term at the outset costs less than extending a facility that ran out.

Frequently asked questions

Will my SPV's first return definitely be checked?
Not definitely, but it is a checkable profile — a large repayment, no trading history, a single transaction. Plan on verification and treat a clean payment as the better outcome.
What is the most common reason a first return is delayed?
A missing or invalid VAT invoice from the seller. The completion statement is not a substitute, and obtaining the invoice gets harder the longer you leave it.
Should the SPV file monthly or quarterly?
For an entity in a repayment position, monthly returns can shorten the cycle considerably. Whether it is worth the extra administration depends on how often you transact — discuss it with your accountant.
Does the SPV need to be trading to reclaim?
It needs to be making, or intending to make, taxable supplies. A property SPV that has bought a building it will let on an opted basis is generally in that position, but the intention should be evidenced.
