VAT on Buying a Care Home

PropertyVAT Team · Updated · 3 min read

Care homes are one of the clearest examples of why "is VAT payable?" is the wrong first question. The more important one is who is buying, and what will they do with it — because for many care home buyers, VAT is not recoverable at all.

The exempt-supply problem

Care provided by a regulated provider is generally exempt from VAT.

That has a direct consequence: a business making exempt supplies generally cannot recover input tax. So an operator who pays 20% VAT on a care home purchase may not get it back.

This flips the entire analysis. For most commercial buyers VAT is a timing problem solved by funding. For a care operator it can be a permanent addition to the price of the asset.

On a £4m care home where VAT was charged, that is £800,000 that may never come back.

Relevant residential purpose

Care homes typically qualify as buildings used for a relevant residential purpose, and this matters in two ways.

It can disapply an option to tax. Where a buyer intends to use a building for a relevant residential purpose and issues the appropriate certificate to the seller, a seller's option to tax can be disapplied — meaning the sale is exempt and no VAT is charged.

That is a significant outcome: no VAT to fund, no irrecoverable VAT, and no additional transaction tax on VAT that was never charged.

It affects construction and conversion. Zero-rating can apply to certain construction and conversion works for buildings intended for a relevant residential purpose. This is relevant to developers and to operators extending capacity.

Both depend on certification, on intentions, and on conditions being met. Neither should be assumed — but both should be asked about explicitly, because the certificate route can remove the VAT entirely.

Operator or investor?

The two buyer types face genuinely different questions.

Operating buyer Investor buyer
Own supplies Care — generally exempt Rent — exempt unless opted
VAT recovery on purchase Often restricted or blocked Possible if opted to tax
Option to tax useful? Rarely — and may be disapplied Only if the tenant can bear the VAT
Key risk Irrecoverable VAT Opting makes the building harder to let

The investor's trap is the mirror of the operator's. If you opt to tax in order to recover your own VAT, you then charge VAT on rent to an operator who probably cannot recover it — making your building 20% more expensive to occupy than a competing unopted one.

The TOGC route

Where an operating care business transfers with the property — residents, staff, registration, trade — TOGC treatment is often considered.

If it applies, the sale falls outside the scope of VAT. Given that recovery may be unavailable to the buyer, that is worth considerably more here than on an ordinary commercial deal: it is not a timing saving, it is an absolute one.

The conditions are strict and the analysis for a trading business differs from a simple let investment. This is specialist territory.

What to establish before committing

  1. What are your own supplies? Exempt care, taxable services, or a mix. This decides whether VAT is a cost or a timing issue.
  2. Has the seller opted to tax? Ask for the notification and acknowledgement.
  3. Could the option be disapplied on relevant residential purpose grounds, and are you able to certify?
  4. Is TOGC treatment available on the trading business?
  5. If you are an investor, do you want to opt? Consider whether your operator tenant can bear VAT on rent.
  6. If VAT will be charged and not recovered, is it in your price?

That last point is the one that should happen at offer stage. A buyer who discovers at completion that an irrecoverable £800,000 has been added has not got a funding problem — they have overpaid for the asset.

Frequently asked questions

Can a care home operator reclaim VAT on the purchase?
Often not. Care provided by a regulated provider is generally exempt from VAT, so the operator may have little or no recovery. This makes any VAT charged a real cost rather than a timing issue.
Does the option to tax apply to a care home?
It can be disapplied where the building is used for a relevant residential purpose and the buyer issues the appropriate certificate. The conditions are specific and need advice before completion.
Is buying an operating care home usually a TOGC?
Where a trading care business transfers with the property, TOGC treatment is often considered. The conditions still have to be met, and the analysis differs from a simple let investment.
What if I am buying as an investor and letting to an operator?
Your position differs from the operator's. Letting is exempt unless you opt to tax, and opting may be unattractive if your tenant cannot recover the VAT on rent.
